According to the provisions of the current Law on Investment, when carrying out these investment activities, the foreign investors must carry out procedures for <span style=\"color: #c00000;\"><strong>registration of capital contribution, purchase of shares or contributed capital<\/strong><\/span> in certain cases.<\/p>\n<h3 style=\"text-align: justify;\"><span id=\"1_Forms_of_capital_contribution_purchase_of_share_and_contributed_capital\"><span style=\"background-color: #ffcc99; color: #000000;\"><em><strong>1. Forms of capital contribution, purchase of share and contributed capital<\/strong><\/em><\/span><\/span><\/h3>\n<p style=\"text-align: justify;\">Investors may contribute capital to economic organizations in the following forms:<\/p>\n<ul style=\"text-align: justify;\">\n<li>Buy shares issued for the first time or additionally issued shares of a joint-stock company;<\/li>\n<li>Contribute capital to limited liability companies, partnerships;<\/li>\n<li>Contribute capital to other economic organizations.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\">Investors purchase shares or contributed capital from economic organizations in the following forms:<\/p>\n<ul style=\"text-align: justify;\">\n<li>Buy shares of a joint stock company from the company or shareholders;<\/li>\n<li>Purchase contributed capital of a member of a limited liability company to become a member of a limited liability company;<\/li>\n<li>Purchase contributed capital of capital-contributing members in a partnership to become a capital-contributing member of a partnership;<\/li>\n<li>Purchase contributed capital of members of other economic organizations.<\/li>\n<\/ul>\n<h3 style=\"text-align: justify;\"><span id=\"2_Cases_that_MUST_carry_out_procedure_for_registration_of_capital_contribution_purchase_of_share_and_contributed_capital\"><span style=\"background-color: #ffcc99; color: #000000;\"><em><strong>2. Cases that MUST carry out procedure for registration of capital contribution, purchase of share and contributed capital<\/strong><\/em><\/span><\/span><\/h3>\n<ul style=\"text-align: justify;\">\n<li>The contribution of capital, purchase of shares, purchase of contributed capital <span style=\"color: #3366ff;\"><strong>increases the foreign investors&#8217; ownership ratio<\/strong><\/span> in economic organizations engaged <strong><span style=\"color: #c00000;\">in business lines with conditional market access for foreign investors<\/span>;<\/strong> <span style=\"color: #ff6600;\"><a style=\"color: #ff6600;\" href=\"https:\/\/www.cis.vn\/danh-muc-nganh-nghe-tiep-can-thi-truong-co-dieu-kien-doi-voi-nha-dau-tu-nuoc-ngoai\/\" target=\"_blank\" rel=\"noopener\">(see list here)<\/a><\/span><\/li>\n<li>The contribution of capital, purchase of shares, purchase of contributed capital <span style=\"color: #3366ff;\"><strong>leads to the fact that foreign investors and foreign-invested economic organizations in accordance with the Law on Investment hold more than 50% of the charter capital<\/strong><\/span> of the economic organizations in the following cases: increasing the percentage of foreign investors&#8217; ownership of charter capital from less than or equal to 50% to over 50%; increase the rate of ownership of charter capital of foreign investors when foreign investors already own more than 50% of charter capital in economic organizations;<\/li>\n<li>Foreign investors contribute capital, purchase shares or purchase contributed capital from <span style=\"color: #3366ff;\"><strong>economic organizations with land use right certificates<\/strong><\/span> in islands and border communes, wards and townships; coastal communes, wards and towns; other areas affecting national defense and security.<\/li>\n<\/ul>\n<h3 style=\"text-align: justify;\"><span id=\"3_Procedure_for_registration_of_capital_contribution_purchase_of_shares_and_contributed_capital\"><span style=\"background-color: #ffcc99; color: #000000;\"><em><strong>3. Procedure for registration of capital contribution, purchase of shares and contributed capital<\/strong><\/em><\/span><\/span><\/h3>\n<p style=\"text-align: justify;\"><span style=\"color: #993366;\">&#x2666;<strong> Profile composition:<\/strong><\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li>Written registration of capital contribution, purchase of shares or contributed capital;<\/li>\n<li>Copy of legal papers of individuals and organizations contributing capital, buying shares, contributed capital and economic organizations with foreign investors contributing capital, buying shares contributed capital;<\/li>\n<li>Written agreement on capital contribution, purchase of share and contributed capital between foreign investors and economic organizations receiving capital contribution, purchase of shares or contributed capital;<\/li>\n<li>Declaration document (enclosed with a copy) about Certificate of land use right of the economic organization receiving capital contribution, shares or capital contribution of foreign investors.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><span style=\"color: #993366;\">&#x2666;<strong> Settlement agency:<\/strong><\/span> the investment registration agency where the economic organization&#8217;s head office is located.<\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #993366;\">&#x2666; <strong>Processing time:<\/strong><\/span> 15 days from the date of receiving valid dossiers.<\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #993366;\">&#x2666; <strong>Result:<\/strong><\/span> <span style=\"color: #c00000;\"><strong>Notice of satisfaction of conditions for capital contribution<\/strong><strong>\/<\/strong><strong>purchase of <\/strong><strong>sahre or <\/strong><strong>contributed capital by foreign investors<\/strong><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #3366ff;\"><strong><u>Note:<\/u><\/strong><\/span> Investors who are <span style=\"color: #993366;\"><strong>not required<\/strong><\/span> to carry out procedures for registration of capital contribution, purchase of shares or contributed capital, only need to carry out procedures for <span style=\"color: #993366;\"><strong>changing shareholders and members <\/strong><\/span>as prescribed.
