In recent years, FDI capital resource inflows into Vietnam has increased rapidly. The attraction of foreign investment capital has been <\/strong>being<\/strong> one of the <\/strong>most <\/strong>important policies in developing the market economy.<\/strong><\/p>\n

1. What is the name of the investment project?<\/strong><\/em><\/span><\/span><\/h3>\n

The name of an investment project is a content on the Investment Certificate, which is the name of a Project that is placed by the Investors and registered with the State agency when carrying out investment registration procedures. Therefore, the Investors need to prepare the project name right from the time of application.<\/p>\n

Normally, in case the investment project is also the established foreign-invested company, the name of the investment project is also the name of the company, so the Company should pay attention to choosing the name of the project in accordance with the provisions of the laws.<\/p>\n

\n2. Procedure for changing the name of the investment project.<\/em><\/strong><\/span><\/span><\/h3>\n

2.1 Case 1: The name of the investment project is also the name of the enterprise<\/strong><\/em><\/span><\/span><\/h4>\n

You need to carry out the procedure for changing the name of the investment project through the following two steps:<\/p>\n

\u2217 Step 1: Change business name<\/strong><\/p>\n

♦ <\/em><\/strong>Firstly, the application <\/em><\/strong>includes:<\/p>\n

\u2013 <\/em><\/strong>Notice of change of enterprise registration content.<\/p>\n

\u2013 <\/em><\/strong>Resolution, decision and copy of meeting minutes of the Board of Members for limited liability companies with two or more members and partnerships; those of the General Meeting of Shareholders for joint-stock companies; resolution, decision of the company owner for a single-member limited liability companies on the change of the enterprise name.<\/p>\n

\u2013 <\/em><\/strong>Authorization letter to file and receive the result of changing the company name.<\/p>\n

♦ <\/em><\/strong>Secondly, submit the application: <\/em><\/strong>The application is submitted online through the National Information Portal on business registration (https:\/\/dangkytinhdoanh.gov.vn<\/a>).<\/em><\/strong><\/span><\/p>\n

♦ <\/em><\/strong>Thirdly, the term for settlement: <\/em><\/strong>Within 03 working days from the day following the date of application submission, if the application is valid, the company will be granted an Enterprise Registration Certificate, otherwise if the application is not satisfactory, the Company will be notified to supplement and adjust the dossier.<\/p>\n

\u2217 Step 2: <\/strong>Change the name of the investment project on the Investment Registration Certificate<\/strong><\/p>\n

♦ <\/em>Firstly<\/em><\/strong>,<\/em><\/strong> the application<\/em><\/strong> includes:<\/p>\n

– A written request for adjustment of the Investment Registration Certificate;<\/p>\n

– Documents related to the change of the name of the investment project.<\/p>\n

♦ <\/em>Secondly<\/em><\/strong>, submit the applicatione<\/em><\/strong>:<\/em><\/strong><\/p>\n

– For investment projects in industrial parks, export processing zones, hi-tech zones and economic zones: The company will submit the dossier at the Management Board of industrial parks, export processin zones, hi-tech parks and economic zones.<\/p>\n

– For investment projects outside industrial parks, export processing zones, hi-tech zones, economic zones: The company will submit the dossier at the Department of Planning and Investment where the investment project is implemented.<\/p>\n

♦ Thirdly<\/em><\/strong>, the term for settlement<\/em><\/strong>: <\/strong>Within 03 working days from the date of receipt of the written request for adjustment of the Investment Registration Certificate, the investment registration issuing-agnecies shall issue the amended Investment Registration Certificate for the Investors. In case of refusal to amend the Investment Registration Certificate, the investment registration issuing-agnecies shall refuse in writing to the investors and clearly state the reasons for the refusal.<\/p>\n

2.2 Case 2: The name of the investment project is not the same as the name of th<\/strong>e enterprise<\/strong><\/em><\/span><\/span><\/h4>\n

You only need to carry out the procedure at step 2 of Case 1 above (change the name of the investment project on the Investment Registration Certificate).<\/p>\n
